Private Equity
KTP attorneys represent private equity and investment funds with domestic and cross-border transactions, equity investments, debt-financing, acquisitions, growth equity investments, private placements, joint ventures, limited partner secondary transactions, and various liquidity events, including sales and recapitalizations.
Our involvement includes advising funds and their portfolio companies in connection with acquisition debt financings and debt restructurings. KTP also advises private equity funds and fund sponsors in connection with initial fundraising and fund formation.

Our advice to clients encompasses counseling companies in connection with their corporate governance and other matters that do not involve a pending transaction, transaction structuring, legal due diligence, and drafting and negotiating agreements and other transaction documentation.

KTP represents financial institutions and other lenders in all aspects of commercial loan transactions, including the drafting of loan documents, due diligence review and all information relevant to borrowers and guarantors. Our attorneys are highly skilled in negotiating and drafting loan documents, closing a wide variety of commercial real estate and corporate lending transactions including construction lending and permanent real estate lending secured by mortgages on shopping centers, apartment complexes, industrial buildings, office buildings, commercial buildings and residential subdivisions. KTP has extensive experience in virtually every type of middle market and small business loan transactions, including term loans, committed revolving credit facilities, lines of credit, real estate acquisition loans, construction loans, asset-based lending, U.S. Small Business Administration (SBA) and other government-assisted loan transactions, letters of credit and leasing transactions for a variety of purposes, including working capital, inventory financing, equipment financing, acquisition financing, real estate acquisition, improvement and refinance.
Fashion and Jewelry
KTP leverages its expertise in finance and traditional corporate law to bring legal and business advice to companies of all sizes in the fashion, apparel, lifestyle and jewelry industries. We have extensive experience negotiating joint ventures and licensing deals, as well as providing general advice regarding factor arrangements, showroom and other agency agreements, supplier, distributor and warehousing matters, and retail stores, including leasing. In addition, we provide advice on trademark registration and infringement issues.

KTP recognizes the importance of intellectual property to the success of our clients’ businesses, including our clients in the fashion, e-commerce, media and technology fields. For our clients, intellectual property, whether the company’s trademarked brand(s) or patent portfolio, are essential assets that must be protected. We provide transaction advice and negotiation regarding the licensing of trademarks, software and other kinds of intellectual property assets. In the context of our corporate transaction practice, KTP also conducts due diligence on these types of assets-- often a major component of value in an acquisition.

Through KTP’s Of Counsel relationships, KTP is able to offer its clients sophisticated and extensive bankruptcy, creditors’ rights, and corporate reorganization practice advice through the New York City metro area. Through these relationships, lenders, servicers and debtors are represented in all phases of bankruptcy proceedings, including pre-bankruptcy workouts and negotiations.
